1. Introduction

Welcome to EasyEmpire AI ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the EasyEmpire AI platform, including our website at [your-website.com], all related services, features, content, and applications (collectively, the "Service").

Please read these Terms carefully before using our Service. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use our Service. By using our Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

3. Your Account

To use certain features of our Service, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

You agree to notify us immediately of any unauthorized access to or use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

4. Subscription and Payment

Our Service offers subscription plans with different features and rates. By selecting a subscription plan, you agree to pay the subscription fees as described at the time of your purchase.

Subscription fees are billed in advance on a monthly or annual basis, depending on the payment schedule you select when purchasing a subscription. Unless otherwise stated, subscriptions automatically renew at the end of each billing period.

You can cancel your subscription at any time by following the cancellation procedures in your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period, at which point it will not renew.

We reserve the right to change our subscription fees at any time. If we change our fees, we will provide notice of the change on the website or via email at least 30 days before the change takes effect.

5. EZ Token System

Our Service utilizes EZ Tokens, which are credits that can be used to access certain features or services within the platform. EZ Tokens have a monetary value and may be converted to cash under certain conditions as outlined below.

The number of EZ Tokens provided depends on your subscription plan. Unused EZ Tokens expire at the end of each billing period unless otherwise specified. Additional EZ Tokens may be purchased separately.

We reserve the right to modify the EZ Token system, including token allocation, expiration policies, and usage rules, at any time. Any such changes will be communicated to users through our website or via email.

Token Cashout Program

Eligible users may convert earned EZ Tokens to cash through our Token Cashout program, subject to the following terms:

  • Minimum cashout: $50 (equivalent to 1,000 tokens at standard rate of 20 tokens per dollar)
  • Eligibility: Creator tier and above subscribers only
  • Conversion rate: 100 tokens = $5 (subject to change with 30 days notice)
  • Processing fee: A processing fee may apply depending on payout method selected
  • Processing time: 3-10 business days depending on payout method
  • Tax reporting: Cashouts totaling $600+ per year may be subject to IRS Form 1099 reporting
  • Earned tokens only: Only tokens earned through platform activities are eligible for cashout. Purchased or subscription-allocated tokens are non-cashable

We reserve the right to deny, suspend, or limit cashout privileges if we detect fraud, abuse, or violation of these Terms. All cashout requests are subject to verification.

6. Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm the Company or users of the Service.
  • To generate content that is illegal, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

7. Intellectual Property

All content, features, and functionality of our Service, including but not limited to all information, software, text, displays, images, video, and audio, as well as the design, selection, and arrangement thereof, are owned by us, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in or to any intellectual property owned by us or our licensors. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service except as generally and ordinarily permitted through the Service according to these Terms.

User-Generated Content

You retain ownership of any content you create, upload, or submit through our Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with providing and promoting the Service.

You represent and warrant that: (i) you own or control all rights in and to your User Content; (ii) your User Content does not infringe upon or violate the rights of any third party; and (iii) your User Content complies with these Terms and all applicable laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT (I) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (III) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

It is your responsibility to review these Terms periodically to stay informed of updates.

11. Termination

We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If your account is terminated, we may delete any content or data associated with your account.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

7. Affiliate and Partner Program

Eligibility and Enrollment

  • You must be a registered user in good standing to participate
  • You may not misrepresent your relationship with EasyEmpire AI
  • You may not engage in deceptive or misleading marketing practices
  • We reserve the right to deny or revoke affiliate/partner status at any time

Commission Structure

Partners earn commissions on qualifying referrals:

  • Initial commission: Percentage of first subscription payment from referred users
  • Recurring commission: Percentage of ongoing subscription renewals (where applicable)
  • Commission rates vary by partner tier and subscription plan referred
  • Commissions are tracked in real-time through your partner dashboard

Payouts and Tax Reporting

  • Minimum payout threshold: $50
  • Payout methods: Bank ACH (2-5 business days), Instant debit card (additional fees apply)
  • Payout schedule: Weekly, monthly, or manual request
  • Tax information required at $100+ lifetime earnings: Social Security Number (SSN) or Employer Identification Number (EIN), legal name, and address
  • IRS Form 1099-NEC issued for earnings of $600+ per calendar year
  • Processing fees: ACH transfers incur nominal fees, instant payouts incur higher fees (1.5-2%)
  • You are responsible for all applicable taxes on earnings

Prohibited Activities

You may not:

  • Use paid advertising on branded keywords without written permission
  • Create fake accounts or refer yourself
  • Engage in cookie stuffing or other fraudulent tracking methods
  • Spam or send unsolicited communications
  • Make false or misleading claims about our Service

Termination and Clawbacks

We may terminate your participation in the program at any time. Commissions earned through fraudulent activity will be reversed and may result in account termination. Unpaid commissions may be forfeited upon termination for violation of these Terms.

8. EZ-Al™ Assistant Terms

The EZ-Al™ assistant is a proprietary, AI-powered feature of our Service. By using EZ-Al™, you agree to the following additional terms:

Conversation Recording and Analysis

You acknowledge and agree that:

  • All interactions with EZ-Al™ are recorded and may be analyzed
  • Conversation data may be used for improving the Service
  • Your conversations contribute to market research and analytics
  • We may review conversations to ensure compliance with these Terms
  • Interactions may be used to train and improve our AI systems

Intellectual Property and Restrictions

You acknowledge that:

  • The name "EZ-Al" and "EZ-Al™" are proprietary marks of EasyEmpire AI (first use 2025)
  • The appearance, functionality, and capabilities of EZ-Al™ are proprietary and may not be copied, imitated, or reproduced
  • You will not attempt to extract, reverse engineer, or replicate any aspect of EZ-Al™
  • You will not use EZ-Al™ to create a competing service or product
  • Your use of EZ-Al™ does not transfer any ownership rights to you

Acceptable Use for EZ-Al™

You agree not to use EZ-Al™ to:

  • Extract confidential information about our company or technology
  • Scrape, mine, or extract data in violation of our Terms
  • Generate content that violates third-party rights
  • Attempt to bypass any limitations or security measures
  • Generate harmful, abusive, or misleading content
  • Obtain competitive intelligence or analyze our AI systems for competitive purposes
  • Create automated scripts to interact with EZ-Al™ outside of our approved API

Limitations and Disclaimers

You understand and acknowledge that:

  • EZ-Al™ provides suggestions and information that may not be suitable for all situations
  • The assistant is not a substitute for professional advice (legal, financial, medical, etc.)
  • Outputs may not always be accurate, complete, or up-to-date
  • Similar requests may generate different responses depending on context
  • We make no warranties about the accuracy or suitability of EZ-Al™'s responses for your specific needs
  • You are solely responsible for evaluating and verifying any information or suggestions provided

Content Ownership

With respect to content generated through EZ-Al™:

  • You retain ownership of your original inputs and any unique business information you provide
  • You are granted a license to use EZ-Al™-generated content for your personal or business purposes, subject to these Terms
  • We retain ownership of the underlying AI models, prompts, and generation capabilities
  • Similar prompts may generate similar outputs for different users
  • We do not claim ownership of your unique business data or implementation of suggestions

Market Research and Data Analysis

You understand that:

  • Your interactions with EZ-Al™ may be used for market research purposes
  • Business trends and insights may be derived from aggregated conversation data
  • Your specific business data will be kept confidential and will not be attributed to you in any market research
  • You grant us the right to use anonymized data from your conversations to improve our Services
  • We may use insights from conversation patterns to develop new features and offerings

13. Hunters AR Game Terms

Hunters AR is an augmented reality mobile game integrated into our Service. By participating in Hunters AR, you agree to additional terms:

Location Services

  • The game requires access to your device's GPS and location services
  • Your real-time location may be shared with other players based on your privacy settings
  • You can control location sharing through privacy levels: Full (exact location), City (city-level only), or Minimal (no location sharing)
  • Location data is used for gameplay, matchmaking, and leaderboards
  • You may disable location services at any time, but this will limit game functionality

Gameplay and Safety

  • You are responsible for your safety while playing the game
  • Be aware of your surroundings and do not play while driving or in dangerous situations
  • Respect private property and do not trespass
  • The game involves interaction with other players; report any inappropriate behavior
  • We are not liable for any injuries or damages that occur while playing

Photo and Media Sharing

  • The game may allow you to take photos and share them with other players
  • You grant us a license to use, display, and distribute photos you upload
  • Do not upload photos containing illegal content, nudity, or violations of others' privacy
  • We reserve the right to remove any photos that violate these Terms

In-Game Currency and Rewards

Game achievements may award EZ Tokens or other rewards. These rewards are subject to our general token and rewards policies and may be adjusted or removed at any time.
